1. Who we are
These Terms & Conditions ("Terms") form a binding agreement between you and LexHarvi ("LexHarvi", "we", "us", or "our"), the provider of LexHarvi One (the "Service"), a corporate governance software platform. By accessing or using the Service you agree to these Terms.
2. Acceptance
By registering for, accessing, or continuing to use the Service, you accept these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.
3. The Service
LexHarvi One provides tools for company secretaries, corporate lawyers, and finance teams to maintain statutory registers, prepare filings and minutes, and use AI-assisted governance workflows. We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected.
4. Account and accuracy
You are responsible for maintaining the confidentiality of your login credentials and for all activity carried out under your account. You must provide accurate information and keep it up to date.
5. Acceptable use
You must not misuse the Service. In particular, you must not:
- use the Service for any unlawful, fraudulent, or abusive purpose;
- infringe the intellectual property or privacy rights of others;
- upload malware, probe, scan, or otherwise interfere with the security of the Service;
- scrape, reverse engineer, resell, or redistribute the Service;
- circumvent technical limits or usage restrictions.
6. AI-assisted features
The Service includes generative AI features (such as the AI Company Secretary and AI Risk Briefing). You are responsible for your prompts, how you use outputs, verifying accuracy, and for having the necessary rights to any content you submit. Outputs may be inaccurate or incomplete and are not a substitute for qualified legal, tax, or professional advice. We may filter, restrict, or refuse outputs, and suspend accounts that repeatedly misuse AI features (including for illegal content, deepfakes, hate speech, malware, or jailbreaking attempts).
7. Your content
You retain ownership of the data and documents you upload. You grant LexHarvi a limited licence to host, process, and display that content solely to provide the Service to you. You are responsible for ensuring you have the rights to upload such content, and we may remove content that violates these Terms following a rights-holder complaint or takedown request.
8. Intellectual property
LexHarvi retains all rights, title, and interest in the Service, including its software, documentation, branding, and templates. No rights are granted to you other than as expressly stated in these Terms.
9. Payments and subscriptions
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by the Paddle Checkout Buyer Terms. Please also see our Refund Policy.
10. Service level
We work hard to keep the Service available, but we do not guarantee that it will be uninterrupted, error-free, or that it will meet every requirement. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
11. Liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service will not exceed the fees paid by you to Paddle for the Service in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or special damages (including loss of profits, data, or goodwill). Nothing in these Terms excludes liability for fraud, death, or personal injury where it cannot be excluded by law.
12. Suspension and termination
We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, you may export your data within a reasonable window, after which it may be deleted.
13. Indemnity
You will indemnify LexHarvi against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.
14. Governing law
These Terms are governed by the laws of the jurisdiction in which LexHarvi is established, and the courts of that jurisdiction will have exclusive jurisdiction, subject to any mandatory consumer protection laws that apply to you.
15. Changes
We may update these Terms from time to time. Material changes will be notified in the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.
